Terms and Conditions — Service Agreement

1. Acceptance of terms

Welcome to Connect One, a management and messaging platform integrated with WhatsApp Business, operated by ZC Mayoristas S.A. By accessing, registering for, or using the platform, the user acknowledges having read, understood, and accepted these Terms and Conditions.

This document governs the conditions of access to and use of the Connect One platform. If the user does not agree with these provisions, they must refrain from using it. The processing of personal data collected through Connect One is governed by the Privacy Policy, a document that complements these Terms.

2. Service description

Connect One is a technology platform that allows ZC Mayoristas S.A. to manage conversations, campaigns, and business processes through WhatsApp Business, acting as an intermediary interface between the company's messaging channels and its internal support, sales, and customer service teams.

3. Registration and user accounts

Access to Connect One is restricted exclusively to internal staff and users expressly authorized by ZC Mayoristas S.A., according to the type of service or role involved. Authorized users must:

• Keep their access credentials confidential.
• Not share usernames, passwords, tokens, or other credentials with unauthorized persons.
• Immediately report any unauthorized access to or use of their account.
• Comply with ZC Mayoristas S.A.'s internal policies and the terms applicable to integrated services.

4. Acceptable use of the platform

Authorized users must use the platform only for authorized purposes and provide truthful, up-to-date information when required. In addition, it is prohibited to use Connect One to:

• Carry out fraudulent or unlawful activities.
• Send unauthorized messages, spam, threats, harassment, or unlawful content.
• Impersonate third parties.
• Obtain, collect, or use personal data without a valid legal basis or authorization when required.
• Share access credentials with unauthorized persons.
• Attempt to breach, alter, disrupt, decompile, or reverse-engineer the platform or its components.
• Use the platform in violation of WhatsApp Business's or Meta's applicable policies and terms.
• Carry out any activity that could compromise the security, availability, or integrity of the platform or the information processed through it.

5. Use of the WhatsApp Business API

Connect One enables communications to be managed through the infrastructure and services made available for WhatsApp Business, including services provided by Meta and its corresponding platforms. The operation, availability, sending, receipt, or suspension of certain messaging services may depend, in whole or in part, on third-party providers.

The user acknowledges that ZC Mayoristas S.A. does not control decisions, policies, restrictions, or suspensions adopted directly by Meta or other third-party providers regarding the accounts, numbers, or services under their administration.

6. Intellectual property

The Connect One platform, including its code, structure, design, interfaces, graphic elements, trademarks, logos, workflows, and other protected components, is the property of ZC Mayoristas S.A. or its respective owners. Access to or use of the platform grants the user no ownership rights over these elements, other than the usage rights expressly granted.

7. Limitation of liability

The user is responsible for their use of the platform and for keeping their own access credentials secure. Nothing in this document limits or excludes liability that cannot be limited or excluded under applicable law.

8. Service availability

ZC Mayoristas S.A. will make reasonable efforts to maintain the continuity and security of Connect One; however, the availability of certain services may be affected by maintenance, updates, technical failures, connectivity issues, force majeure, or interruptions caused by third-party providers. Accordingly, ZC Mayoristas S.A. does not guarantee uninterrupted availability of services that depend on third parties, including WhatsApp Business infrastructure, Meta, connectivity services, or external technology infrastructure.

9. Termination of service

ZC Mayoristas S.A. may restrict, suspend, or cancel access to the platform if it identifies violations of these terms, security risks, or unauthorized use.

10. Changes to these terms

ZC Mayoristas S.A. may update or modify these Terms and Conditions when necessary for operational, technological, legal, or service-improvement reasons. Changes will be communicated or made available to users through the channels ZC Mayoristas S.A. deems appropriate and will take effect as of the date indicated in the updated version. Users are encouraged to review this document periodically.

11. Governing law and jurisdiction

These Terms and Conditions are governed by the laws of the Republic of Ecuador. For any dispute arising from access to or use of the platform, the parties submit to the competent courts of ZC Mayoristas S.A.'s domicile, without prejudice to consumer-protection rules or other public-order provisions that may apply.
